This Software License Agreement ("Agreement") is a legal agreement between WalliesWorld, LLC ("Licensor," "we," "us," or "our") and the individual or organization that downloads, installs, purchases, accesses, or uses the Scout software ("Licensee," "you," or "your").
By downloading, installing, copying, accessing, or using Scout, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not install, access, or use the Software.
1. Software
"Software" means the Scout desktop application, related executable files, documentation, sample files, generated templates, included materials, updates, and any other files provided by Licensor.
Scout is a database discovery and documentation tool designed to help users analyze, document, and visualize SQL Server database schemas and related database objects.
2. License Grant
Subject to your compliance with this Agreement and payment of all applicable fees, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use Scout for your internal personal or business purposes.
Unless otherwise stated in your purchase terms, the license is limited to use by one individual user. If Scout is purchased for a company, team, department, or multiple users, each user must have a valid license unless Licensor has provided written permission for broader use.
3. Permitted Use
You may use Scout to:
- Connect to supported databases you are authorized to access.
- Analyze database schema information.
- Generate database documentation, diagrams, reports, and related output files.
- Save and reopen Scout schema files.
- Use generated documentation internally for development, support, review, training, migration, or operational purposes.
4. Restrictions
You may not:
- Sell, resell, rent, lease, lend, sublicense, distribute, publish, or commercially host the Software.
- Share a licensed copy, license key, purchase access, or download link with unlicensed users.
- Reverse engineer, decompile, disassemble, modify, or attempt to derive the source code of the Software, except where such restriction is prohibited by applicable law.
- Remove, alter, or obscure copyright notices, license notices, branding, or proprietary notices.
- Use the Software to access databases, systems, or data without authorization.
- Use the Software to create a competing product or service.
- Circumvent technical limitations, licensing controls, copy protection, or usage restrictions.
- Use the Software in violation of applicable law, regulation, or third-party rights.
5. Ownership
Scout is licensed, not sold.
Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights, source code, object code, design, structure, user interface, documentation, branding, templates, and related materials.
This Agreement does not transfer ownership of the Software to you.
6. Your Data and Generated Output
You retain ownership of your databases, database schema information, business data, and any information you independently own.
You may use the documentation, diagrams, reports, and output files generated by Scout for your internal business, technical, operational, training, or documentation purposes.
Licensor does not claim ownership of your database schema, database contents, or business data. However, Licensor retains ownership of the Software, the documentation generation engine, report layout, templates, application design, and any proprietary components included in Scout.
You are responsible for ensuring that you have the right to connect to, analyze, document, export, or share information about any database used with Scout.
7. Sensitive Data
Scout is intended to analyze database structure and metadata. You are responsible for reviewing generated documentation before sharing it.
Database schema documentation may reveal sensitive information, including table names, column names, stored procedure names, business processes, system architecture, internal naming conventions, or operational details.
You should not publish, distribute, or share generated output unless you have reviewed it and confirmed that you are authorized to disclose it.
8. Third-Party Components
Scout may use or interact with third-party components, libraries, tools, or services. Third-party components may be subject to their own license terms.
GraphViz, SQL Server, Windows, .NET Framework, Gumroad, or other third-party tools and services are not owned by Licensor unless expressly stated.
You are responsible for complying with any applicable third-party license terms.
9. Payment and Refunds
Payments may be processed through Gumroad or another payment provider. Payment processing, taxes, chargebacks, and platform-related transaction handling may be subject to the payment provider's terms.
Refunds, if any, are governed by the refund policy posted on the applicable product page or purchase platform at the time of purchase. Licensor may offer a custom refund policy for Scout through the sales platform.
Refunds are not guaranteed unless required by applicable law or expressly stated in the posted refund policy.

10. Updates
Licensor may provide updates, bug fixes, enhancements, or new versions at its discretion.
Unless otherwise stated in your purchase terms, purchase of Scout does not guarantee free lifetime updates, free major version upgrades, or continued feature development.
Licensor may modify, discontinue, or replace features at any time.
11. Support
Licensor may provide reasonable support through the contact method listed on the product page or documentation.
Support is provided at Licensor's discretion and does not include guaranteed response times, custom development, database repair, production troubleshooting, or consulting services unless separately agreed in writing.
12. No Warranty
Scout is provided "as is" and "as available."
To the maximum extent permitted by law, Licensor disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and error-free operation.
Licensor does not warrant that Scout will meet your requirements, operate without interruption, generate complete or error-free documentation, detect every relationship, identify every virtual foreign key, or be suitable for any particular business, legal, compliance, or technical purpose.
You are responsible for validating generated documentation, diagrams, scripts, and analysis results before relying on them.
13. Limitation of Liability
To the maximum extent permitted by law, Licensor will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, loss of data, loss of goodwill, database damage, system failure, or cost of substitute goods or services.
Licensor's total liability arising out of or related to this Agreement or the Software will not exceed the amount you paid for Scout during the twelve months preceding the event giving rise to the claim, or $100, whichever is greater.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless Licensor from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from:
- Your use or misuse of the Software.
- Your violation of this Agreement.
- Your unauthorized access to or documentation of any database.
- Your sharing, publication, or distribution of generated output.
- Your violation of applicable law or third-party rights.
15. Termination
This Agreement is effective until terminated.
Your license automatically terminates if you violate this Agreement. Upon termination, you must stop using Scout and delete all copies of the Software in your possession or control.
Sections relating to ownership, restrictions, payment, warranty disclaimer, limitation of liability, indemnification, and governing law will survive termination.
16. Export and Legal Compliance
You agree to comply with all applicable laws and regulations when using Scout.
You may not use, export, re-export, or transfer the Software in violation of applicable export control laws, sanctions, or restrictions.
17. U.S. Government Use
If the Software is acquired by or on behalf of the U.S. Government, it is provided as "commercial computer software" and "commercial computer software documentation" with only those rights granted to other users under this Agreement.
18. Changes to This Agreement
Licensor may update this Agreement from time to time. Updated terms may apply to future versions, updates, downloads, or continued use of the Software.
If a change materially affects your rights, Licensor may provide notice through the product page, documentation, download package, or other reasonable means.
19. Governing Law
This Agreement is governed by the laws of Tennessee, USA, without regard to conflict of law principles.
Any dispute arising out of or relating to this Agreement or the Software will be brought in the courts located in Davidson County, Tennessee, USA, unless applicable law requires otherwise.
20. Entire Agreement
This Agreement, together with any purchase terms, product page terms, or written terms provided by Licensor, represents the entire agreement between you and Licensor regarding Scout.
If any provision of this Agreement is found unenforceable, the remaining provisions will remain in effect.
